Terms of Service

1. Acceptance of Terms

By installing or using Counselo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users of Counselo including the Chrome extension and Counselo Connect desktop application.

2. Description of Service

Counselo is an AI-powered legal compliance assistant designed for Alberta lawyers. The Service provides AI-assisted compliance checking, citation verification, deadline extraction, and legal research tools. Counselo is not a law firm and does not provide legal advice. The Service is a professional productivity tool to assist qualified legal professionals.

3. Professional Responsibility

Counselo is a tool to assist lawyers — it does not replace professional judgment. You are solely responsible for verifying all AI-generated output before relying on it in any legal matter. You must comply with the Law Society of Alberta Rules of Professional Conduct including your obligations regarding competence, supervision, and confidentiality. AI output must always be verified before filing, advising clients, or presenting to any court or tribunal.

4. Subscription Plans and Billing

Counselo offers Free, Solo, Professional, and Firm subscription plans. Paid plans are billed monthly. You may cancel at any time and your access continues until the end of the billing period. No refunds are provided for partial months. Counselo reserves the right to change pricing with 30 days notice to subscribers.

5. Confidentiality and Data

Counselo processes your queries through Anthropic's Claude API under a zero data retention agreement. Document content submitted to Counselo is not stored on our servers and is not used to train AI models. You remain solely responsible for ensuring your use of Counselo complies with your confidentiality obligations to clients under the Law Society of Alberta Rules of Professional Conduct and applicable privacy legislation including PIPA and PIPEDA.

6. Acceptable Use

You agree not to use Counselo to: submit false or misleading information to courts or tribunals; violate any applicable law or regulation; attempt to reverse engineer or copy the Service; share your account credentials with others (Firm plan excepted for authorized seats); or use the Service for any purpose other than legitimate legal practice.

7. Disclaimer of Warranties

Counselo is provided "as is" without warranty of any kind. We do not warrant that the Service will be error-free, uninterrupted, or that AI-generated output will be accurate, complete, or current. Legal information provided by Counselo must always be independently verified. Counselo is not responsible for any errors in AI-generated citations, legal analysis, or compliance assessments.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Counselo shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to professional liability claims, court sanctions, or client losses arising from reliance on AI-generated output. Our total liability to you shall not exceed the amount paid by you in the three months preceding the claim.

9. Intellectual Property

Counselo and all related trademarks, logos, and service marks are the property of Counselo. The Service and its underlying technology are protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

10. Termination

We reserve the right to suspend or terminate your access to Counselo at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination your right to use the Service ceases immediately. You may terminate your account at any time by cancelling your subscription.

11. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Calgary, Alberta.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
